JOB PURPOSE AND SCOPE:
Serve as a legal advisor and proactively manage legal risks in close cooperation with the Credit, Capital Markets, Finance, and Accounting departments. Render opinions on compliance of loans and loan participation with the scope and eligibility rules of the
Farm Credit Act. Advise, negotiate, structure, and document issues with respect to commercial and consumer loans owned or serviced by the Bank. Ensure compliance of the bank’s automated loan documentation system with federal and state law, consumer compliance
regulations, and FCA regulations. Participate in and lead training of district loan officers and lending staff in legal and regulatory issues. Provide Capital Markets departments with guidance in loan participation and syndications. Serve on system-wide
cross-functional work teams as assigned. Assume responsibility for special assignments.
EDUCATION AND EXPERIENCE REQUIREMENTS:
- Provide real-time legal advice to the bank on a broad array of regulatory issues, business issues and projects.
- Provide advice and guidance on loan interests held by the bank, and provide legal services related to the transfer, servicing, restructuring and collecting of such loans.
- Draft eligibility determinations and opinions, perform research and communicate findings to appropriate parties to clarify positions concerning various matters.
- Complete and/or review participation agreements with other lenders.
- Complete special projects assigned by SVP/General Counsel/ Corporate Secretary
Juris Doctor Degree or equivalent and licensed to practice law in the State of Texas with eight (8) or more years of related experience required, with an emphasis in consumer and commercial lending (including large syndicated credits and loan participation),
general corporate and banking law and real estate law. Familiarity with loan workouts and bankruptcy is helpful, as is knowledge of administrative law.
Must have excellent oral and written communication skills, strong interpersonal and teamwork skills and ability to influence through collaboration. Must have ability to analyze and research legal issues, draft letters, contracts and other written communications,
and communicate legal requirements to lawyers and non-lawyers. Must be able to understand and integrate details of business operations in applying legal and policy requirements. Perform legal research using electronic and/or manual sources. Familiarity
with debtor/creditor law, real estate law, Truth-in-Lending, RESPA, ECOA and other consumer credit protection laws, security interests, and bankruptcy law and rules, as well as familiarity with corporate law is desired. An understanding of the Farm Credit
Act and FCA regulations, and familiarity with Farm Credit banks, Agricultural Credit Associations, and Federal Land Credit Associations is preferred. Familiarity with Microsoft Office in a Windows environment.
